These Terms of Use (“Terms”) govern your access to and use of the Excel Experts Certify website, practice exams, workbooks, instructions, feedback reports, and related materials (collectively, the “Service”), operated by Spreadsheet Pros LLC, d/b/a Excel Experts and Spreadsheet Pros(“we,” “us,” or “our”). By creating an account, purchasing, downloading, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your account. Accounts are for a single individual; they may not be shared.

2. License grant

Subject to these Terms and your payment of applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the practice exams and materials you have purchased, solely for your own personal exam preparation, for the access period associated with your purchase (typically one year unless otherwise stated). No other rights are granted.

3. Ownership

The Service and all of its content—including exam workbooks, task instructions, grading rubrics, feedback reports, software, text, graphics, logos, and their selection and arrangement—are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws. Except for the limited license above, no right, title, or interest in the Service is transferred to you.

4. Restrictions on use

You agree that you will not, and will not permit any third party to:

  • copy, reproduce, download (except as expressly enabled), distribute, publish, post, transmit, sell, resell, license, sublicense, rent, lease, lend, or otherwise make the materials available to any other person;
  • share your account, exam files, instructions, or answers with anyone, or use another person’s account;
  • upload, post, or repost any part of the materials to any website, file-sharing service, study-sharing platform, social network, messaging group, learning management system, or other public or shared location;
  • use the materials to create, train, or improve any competing product, question bank, course, or dataset, or to develop derivative works;
  • remove, obscure, alter, or circumvent any watermark, notice, serial number, access control, or other security or attribution feature;
  • use any robot, scraper, or automated means to access, harvest, or copy the Service; or
  • reverse engineer, decompile, or attempt to derive the source of any software, or use the Service in violation of any applicable law.

5. Watermarking, serialization, and traceability

To protect our intellectual property and detect unauthorized sharing, each copy of an exam workbook, instructions document, and feedback report you download is individually personalized to you. Each copy is stamped with your name and email address, embeds a unique forensic serial number, and each download is loggedon our servers together with your account, the item downloaded, the serial, a timestamp, and the originating IP address. This allows any copy that appears outside the Service—including partial, cropped, or photographed copies—to be traced to the account that obtained it. By downloading materials you acknowledge and consent to this personalization and logging. We describe how we handle this information in our Privacy Policy.

6. Enforcement

Unauthorized use, copying, or distribution of the materials is a material breach of these Terms and may infringe our intellectual property rights. We may, without limiting other remedies, suspend or terminate your account and access, remove infringing copies, and pursue any legal or equitable remedy available to us, including injunctive relief and recovery of damages and costs.

7. Purchases, access period, and refunds

Prices are shown at checkout and exclude taxes, which are calculated at checkout. Purchases grant access for the stated period. Because the materials are digital and delivered immediately, sales are generally final; where required by law or stated at purchase, refund eligibility will be honored. Payment processing is handled by our payment processor; we do not store full payment card details.

8. No affiliation with Microsoft; no guarantee

We are an independent provider and are not affiliated with, endorsed by, or sponsored by Microsoft Corporation. “Microsoft Office Specialist,” “MOS,” and related marks are trademarks of Microsoft Corporation. Our practice exams are study aids and are not actual certification exams. We do not guarantee any particular result, score, or that you will pass any certification exam.

9. Disclaimers and limitation of liability

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim, and we will not be liable for indirect, incidental, special, consequential, or punitive damages.

10. Changes and termination

We may modify the Service or these Terms from time to time. Material changes will be posted with an updated date. Your continued use after changes take effect constitutes acceptance. We may suspend or terminate access for violation of these Terms.

11. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state and federal courts located in Texas, to the extent permitted by law.
